Report formal Members' Council meeting 3 April 2025

The first formal Members' Council meeting of this year was held on 3 April. A formal Members' Council meeting is attended not only by those in the Members' Council, but also by the members of the Supervisory Board and the management board. The first meeting of the year always has a number of fixed items on the agenda, which the Members' Council must approve by vote.

Annual report, CSRD reporting and financial statements 2024

During this item, an explanation of the 2024 Annual Report and Accounts was given. Pieter Bootsma (CEO) reviewed the key issues and David van Mechelen (CFO) explained the financial results. Evert van Helvoort, Chairman of the Supervisory Board (SB), explained the process of approving the financial statements and the annual report and reported on the supervision exercised. Pascal Visée (chairman Audit Committee SB) provided an update from the Audit Committee and gave additional interpretation on the CSRD report. The Finance Committee of the Members' Council, led by Gerrit Vermöhlen (chair) and the external auditor (PwC) also gave an explanation about their role in the process and the findings they made.

After a substantive discussion in which some detailed questions and comments from the Members' Council were answered, the vote was taken:

• Benefit terminated membership (certificate A)

• Adopt 2024 financial statements

• Distribution of net results 2024

• Discharge of members of Management Board for policies pursued in 2024

• Discharge of members of SB for supervision held in 2024

The Members' Council gave approval on all voting items.

After this vote, David van Mechelen gave a brief explanation of our cooperative's future plan and Strategy 2030. During the Member Sessions, which start in the Netherlands on 8 April next, this will be explained by the management board and the Member' Council will consult on this. Other important issues such as Floriway results, certification, central auctioning and an advocacy update will also be discussed during the Member Sessions.
